Terms of Service
Effective date: October 2, 2026
1. The agreement
These Terms of Service (the “Terms”) are a contract between Avanta Group LLC, a limited liability company organized under the laws of the State of Delaware, United States (“Avanta”, “we”, “us”) and the business that opens an account or otherwise uses the Service (“Customer”, “you”). They govern the Avanta workspace, also presented as TravelOS, the storefronts published with it, our programming interfaces and our websites (together, the “Service”).
The Service is for businesses. By opening an account you confirm that you are acting for a travel agency, tour operator, destination management company or other business, that you have authority to bind it, and that you are at least 18 years old. If you do not agree to these Terms, do not use the Service.
An order form, a plan you select in the workspace, and our Data Processing Addendum form part of this agreement. If they conflict, a signed order form prevails over these Terms, and the Data Processing Addendum prevails on the handling of personal data.
Section 20 contains an agreement to arbitrate and a waiver of class actions. Please read it.
2. The Service
Avanta gives travel businesses one place to search and book travel from suppliers, build trips and quotes, manage customers, invoices and payments, answer customer messages from email and messaging channels, and publish a storefront website. Features depend on your plan.
We improve the Service continually and may add, change or remove features. If we remove a feature you pay for and rely on, we will tell you in advance where we reasonably can. Features marked as beta, preview or early access are offered as they are, may change or end at any time, and are not covered by any service commitment.
3. Accounts, users and networks
- An account represents one organization. You must give us accurate company details and keep them current.
- You decide who is invited to your organization and what each person may do. You are responsible for your users, for keeping their credentials confidential, and for everything done under your account.
- Tell us promptly at the address in section 24 if you believe an account has been used without permission.
- If you operate a network of agencies in Avanta, you are responsible for the organizations you create under yours and for the access you give them. If your organization belongs to a network, the organization above yours can administer your access, set the prices at which you buy, and see the bookings and amounts owed that pass through it.
- We may refuse, suspend or reclaim an account name, storefront address or domain that is misleading, infringes someone else’s rights or is unlawful.
4. Plans, trials and payment
- Trials. We may offer a free trial for the period shown when you sign up. At the end of the trial your access to paid features ends unless you choose a paid plan.
- Subscriptions. Paid plans are billed in advance for the billing period you choose and renew automatically for the same period until cancelled. You can cancel at any time; cancellation takes effect at the end of the period already paid for.
- Other charges. Some plans include charges that depend on use, such as a fee per booking, additional users, or add-ons. These are shown in the workspace or in your order form before you incur them.
- Refunds. Fees are not refundable, and we do not give credit for part of a billing period, except where these Terms say otherwise or the law requires it.
- Price changes. We may change our prices. A change applies from your next renewal, and we will give you at least 30 days’ notice before it does.
- Taxes. Fees exclude taxes. You are responsible for sales, use, value added, withholding and similar taxes on your purchases, other than taxes on our income. If you must withhold tax, you will pay the additional amount needed so that we receive the full fee.
- Payment. You authorize us and our payment processors to charge the payment method you provide, and your use of a payment processor is also subject to that processor’s terms. If a payment fails or an invoice is overdue, we may suspend the Service after giving you notice, and charge interest on overdue amounts at the lower of 1.5% per month or the highest rate the law allows.
5. Travel bookings and suppliers
Avanta is a technology provider. We are not a travel agency, tour operator, airline, hotel, carrier or seller of travel, and we do not own, operate or control any travel product. Travel products are provided by third-party suppliers, such as airlines, hotels, accommodation wholesalers, transfer and activity operators and global distribution systems (“Suppliers”), or by you. The contract for the travel is between the traveller, you and the Supplier. We are not a party to it.
- Each booking is subject to the Supplier’s own terms, fare rules, cancellation and change conditions and penalties. You are responsible for reading them, passing them on to your travellers, and complying with them.
- Prices, availability, content and images come from Suppliers. They can change at any moment and are not guaranteed until the Supplier confirms the booking. We do not warrant that Supplier information is accurate or complete.
- You are the seller to your traveller. You are responsible for your contract with the traveller, for the prices you charge, for collecting payment, for refunds, chargebacks and complaints, and for holding every licence, registration, bond and insurance your business requires where you operate.
- You are responsible for the accuracy of the traveller details you submit, for travel document, visa and health requirements, and for meeting ticketing, payment and cancellation deadlines.
- You will pay every amount due for the bookings you make through the Service, including Supplier charges, penalties and debit memos, on the payment terms that apply to your account. Where you buy through a network, those amounts are owed to the organization above yours.
- A refund for a cancelled or changed booking is due only when, and to the extent that, the Supplier grants it and pays it. Where a Supplier charges the traveller’s card directly, the Supplier is the merchant for that charge.
- If you connect your own Supplier contract or credentials, you confirm that you are authorized to use them in the Service. Your agreement with that Supplier governs those bookings, and you are responsible for the credentials and for the Supplier’s charges.
- We are not responsible for the acts or omissions of Suppliers, including cancellations, schedule changes, overbooking, insolvency, strikes or the quality of the travel provided.
6. Storefronts
If you publish a storefront, it is your website. You are its publisher and, towards its visitors, the seller and the party responsible for their personal data. You are responsible for its content, prices and offers, for publishing your own terms and privacy notice on it, for any scripts, tags or cookies you add to it, and for any consent the law requires from its visitors. You are responsible for any domain you connect and for your right to use it.
Enquiries and requests submitted through your storefront are sent to you, and you are responsible for answering them. We may remove or disable storefront content that we reasonably believe is unlawful, infringing or harmful.
7. Messaging channels and third-party services
The Service can connect to services operated by others, such as email providers, Facebook Messenger, Instagram, the WhatsApp Business Platform, payment processors and tax authorities’ invoicing systems (“Third-Party Services”).
- When you connect a Third-Party Service, you confirm that you are authorized to connect that account, page or number, and you instruct us to exchange data with it on your behalf.
- Your use of a Third-Party Service is governed by your own agreement with its provider. You will comply with that provider’s terms and policies, including Meta’s terms and the WhatsApp Business messaging policies, and you will obtain any opt-in they or the law require before you message someone.
- You are responsible for the content of the messages your users send.
- Third-Party Services are outside our control. Their providers may change, limit or withdraw them, which may affect the related features of the Service, and we are not liable for that.
- You can disconnect a Third-Party Service at any time in the workspace.
8. Artificial intelligence features
Some features use artificial intelligence to draft, summarize, translate or suggest content. The output is generated automatically and may be inaccurate, incomplete or unsuitable. You are responsible for reviewing it before you rely on it or send it to anyone, and you should not treat it as professional advice or as a confirmed price or availability. As between you and us, the output generated for you is yours to use.
To produce a result we send the necessary content to the providers that run the models for us. We do not use your Customer Data to train generally available models, and we do not allow those providers to do so.
9. Your data
“Customer Data” means the data that you, your users and your travellers put into the Service, or that the Service receives for you, including traveller details, bookings, messages, documents and storefront content.
- Customer Data is yours. You give us a non-exclusive licence to host, copy, transmit and display it only as needed to provide, secure and support the Service and to meet our legal obligations.
- You are responsible for Customer Data: for its accuracy and lawfulness, for having the right to collect and use it, and for giving your travellers and contacts every notice and obtaining every consent the law requires.
- Where Customer Data includes personal data, you are the party that decides why and how it is used, and we process it on your behalf under our Data Processing Addendum, which is available on request at privacy@avantatravel.io. Our Privacy Policy describes the personal data we handle for our own purposes.
- We may create and use data about how the Service is used, in a form that does not identify you, your users or any traveller, to operate, measure and improve the Service.
- You are responsible for exporting any Customer Data you wish to keep. We maintain backups for our own continuity purposes and do not offer them as a storage or recovery service.
10. Acceptable use
You will not, and will not allow anyone else to:
- use the Service unlawfully, or to sell travel that you are not permitted to sell;
- send unsolicited bulk or deceptive messages, or use a connected channel for anything other than communicating with your own customers and contacts;
- make speculative, fictitious, duplicate or abusive bookings, hold inventory you do not intend to sell, or search Supplier inventory by automated means beyond normal use of the Service;
- access another organization’s data, or probe, scan or test the security of the Service without our written permission;
- interfere with the Service, overload it, or bypass any limit or technical protection;
- upload malicious code, or content that is unlawful, infringing, defamatory, hateful or fraudulent;
- copy, resell, sublicense or reverse engineer the Service, or use it to build a competing product, except where the law permits this despite a contract;
- scrape or extract Supplier content, prices or images for use outside the Service;
- use the Service if you or your traveller are subject to sanctions, or to arrange travel that sanctions or export laws prohibit.
We may investigate suspected breaches and may suspend the account concerned, as described in section 16.
11. Our intellectual property
We and our licensors own the Service, including its software, design, documentation and trademarks. Subject to these Terms and to payment of the fees, we give you a non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription. No other rights are granted.
If you give us suggestions or feedback, we may use them without restriction and without payment to you.
Your storefront may display a “Powered by Avanta” credit. You can remove it in your storefront’s settings.
12. Confidentiality
Each party will keep the other’s non-public information confidential, use it only to perform this agreement, and protect it with reasonable care. This does not apply to information that is or becomes public through no fault of the recipient, that the recipient already knew or lawfully receives from someone else, or that it develops independently. A party may disclose confidential information where the law requires it, after giving the other party notice where it lawfully can.
13. Availability and support
We work to keep the Service available and secure, and we provide support through the channels shown in the workspace. The Service may be unavailable during maintenance or because of matters outside our control, including failures of Suppliers, Third-Party Services, networks or hosting providers. Unless a signed order form says otherwise, we do not commit to a particular level of availability.
14. Disclaimer of warranties
To the fullest extent the law allows, the Service is provided “as is” and “as available”. We disclaim all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Supplier information is accurate, or that any booking will be honoured by a Supplier.
15. Limitation of liability
To the fullest extent the law allows:
- neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, goodwill or data, even if it was told that they were possible; and
- our total liability arising out of or relating to this agreement is limited to the greater of the fees you paid us for the Service in the twelve months before the event giving rise to the claim and one hundred United States dollars (US$100).
These limits do not apply to your obligation to pay fees and booking amounts, to your obligations under section 17, to a breach of section 10, or to liability that the law does not allow to be limited.
16. Suspension
We may suspend all or part of the Service, with as much notice as is reasonable in the circumstances, if fees or booking amounts are overdue, if we reasonably believe you have breached section 10, if your use puts the Service, a Supplier or another customer at risk, or if the law or a Supplier requires it. We will restore access once the cause is resolved.
17. Indemnity
You will defend us, our affiliates and our personnel against any claim brought by someone else, and pay the resulting damages, fines and reasonable costs, to the extent the claim arises from: your travel sales and your dealings with travellers and Suppliers; Customer Data or your storefront content; your use of a Third-Party Service; or your breach of these Terms or of the law. We will tell you promptly about the claim, let you control its defence, and give you reasonable help at your expense. You may not settle a claim in a way that imposes an obligation on us without our consent.
18. Term and ending the agreement
- This agreement starts when you open an account and continues until your account is closed.
- You may cancel a subscription or close your account at any time, as described in section 4.
- Either party may end this agreement if the other materially breaches it and does not put the breach right within 30 days of written notice. We may also end it on 30 days’ notice, in which case we will refund any fees you have prepaid for the period after it ends.
- When the agreement ends, your right to use the Service stops. Bookings already made remain subject to the Suppliers’ terms, and every amount you owe remains payable.
- For 30 days after the agreement ends you may ask us for an export of your Customer Data. After that we delete Customer Data from our live systems within 90 days, except for records we must keep by law, such as booking, invoice and tax records.
- Sections 4, 5, 9, 11, 12, 14, 15, 17, 18 and 20 to 23 continue to apply after the agreement ends.
19. Trade controls
You confirm that you are not located in, and are not owned or controlled by anyone located in, a country or territory subject to comprehensive sanctions of the United States, and that you are not on a United States, United Nations, European Union or United Kingdom list of restricted parties. You will comply with the export control and sanctions laws that apply to your use of the Service.
20. Governing law and disputes
Governing law. This agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Talk to us first. Before starting proceedings, each party will give the other written notice of the dispute and try in good faith to resolve it for 30 days.
Arbitration. Any dispute arising out of or relating to this agreement that is not resolved in that time will be decided by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, or, where you are established outside the United States, by its International Centre for Dispute Resolution under its International Arbitration Rules. There will be one arbitrator. The seat of arbitration is Wilmington, Delaware, the language is English, and hearings may be held remotely. Judgment on the award may be entered in any court with jurisdiction.
No class actions. Each party may bring claims only on its own behalf, and not as a claimant or member in any class, collective or representative proceeding. The arbitrator may not consolidate claims of more than one customer.
Exceptions. Either party may apply to a competent court for urgent relief to protect its confidential information or intellectual property, and we may bring a claim in any competent court to recover amounts you owe. For those matters, and for any dispute that cannot lawfully be arbitrated, the state and federal courts located in the State of Delaware have exclusive jurisdiction, and each party waives the right to a trial by jury to the extent the law allows.
21. Changes to these Terms
We may update these Terms. If a change is material we will tell you by email or in the workspace at least 30 days before it takes effect, unless the law or a security need requires it sooner. If you do not agree, you may close your account before the change takes effect; using the Service after that date means you accept the updated Terms.
22. Travellers and other visitors
These Terms are a contract with our business customers. If you are a traveller who received a quote, booked a trip or sent an enquiry through an agency that uses Avanta, your contract is with that agency and with the Suppliers of your travel, not with us. Please contact the agency with any question about your trip.
23. General
- This agreement is the entire agreement between the parties on its subject and replaces earlier discussions and agreements on it.
- You may not assign this agreement without our written consent. We may assign it to an affiliate or to a successor to our business.
- Neither party is liable for a failure or delay caused by events beyond its reasonable control. This does not excuse an obligation to pay.
- If part of this agreement is found unenforceable, the rest remains in effect. A failure to enforce a right is not a waiver of it.
- The parties are independent contractors. Nothing in this agreement creates a partnership, agency or employment relationship, and no one else has rights under it.
- We send notices to the email address of your account owners or through the workspace. You send notices to the address in section 24.
- These Terms are written in English. If we provide a translation, the English version prevails if they differ.
